Leadership Toolkit, Managers Toolkit and Comprehensive Toolkit — business customers in England and Wales
Version 1 · 25 September 2026
These Terms and Conditions govern the sale of HR Toolkit digital products by Wellscape Group Ltd via its Shopify store to business customers in England and Wales.
1. Who these Terms apply to
1.1 These Terms and Conditions (“Terms”) apply to every order placed via the Wellscape Group Ltd online store operated on the Shopify platform (the “Store”) for HR Toolkit digital products (each a “Toolkit”).
1.2 “Wellscape”, “we”, “us” or “our” means Wellscape Group Ltd, a company registered in England and Wales under company number 15380302, whose registered office is 32 Mulberry Way, Armthorpe, Doncaster, England, DN3 3UE. “Customer”, “you” or “your” means the business placing the order.
1.3 Business customers only. The Store sells exclusively to customers acting for the purposes of a trade, business or profession. By placing an order you confirm, and it is a condition of the contract, that:
(a) you are contracting wholly or mainly for purposes relating to your trade, business, craft or profession, and not as a consumer; and
(b) you have authority to bind the business named on the order to these Terms.
1.4 At checkout you must enter the name of the business placing the order in the company name field, which is mandatory. By entering your business name and completing your order, you confirm the statements in clause 1.3. If you are unable to confirm this, please do not place an order — contact us at gerri.mcaughtry@wellscape.uk and we will advise on alternative arrangements.
1.5 We rely on your confirmation at clause 1.3 without further verification. If it later transpires that an order was placed by, or on behalf of, a consumer rather than a business, we reserve the right to cancel the order and refund the price paid, and none of the business-to-business terms below (including the liability cap at clause 8) shall be treated as having applied to that order.
1.6 A contract is formed between you and Wellscape when we send you an order confirmation email or, if earlier, when we make the Toolkit available for download to you (clause 4). These Terms, together with the product description and price shown on the Store at the time of your order, form the entire agreement between us for that order.
1.7 We may update these Terms from time to time. The version in force at the time you place an order is the version that applies to that order; later changes do not affect orders already placed.
2. What you are buying
2.1 Each Toolkit is a digital product comprising a combination of the following, according to the tier purchased: downloadable and/or editable template documents, letters, checklists and flowcharts; guidance notes and factsheets; self-paced manager training content, including video or slide-based training such as the “Managing Unfair Dismissal in Practice” Manager Training Slides; AI prompts for adapting the templates to your business; and, for the Comprehensive Toolkit tier only, a live Q&A session (together, the “Materials”). Toolkits are sold in three tiers:
(a) Leadership Toolkit;
(b) Managers Toolkit; and
(c) Comprehensive Toolkit, which includes all of the Materials in both the Leadership Toolkit and the Managers Toolkit, together with one live group Q&A session of up to 1 hour, shared with attendees from up to 10 businesses, on the terms set out in clause 10.
The specific Materials included in the Leadership Toolkit and in the Managers Toolkit are listed on the product page for each tier at the time of your order. The Comprehensive Toolkit is sold as a single Toolkit at a single price: the Q&A session is not priced or sold separately, and it is not included in the Leadership Toolkit or Managers Toolkit, whether those tiers are bought individually or together.
| Tier | Materials included | Live Q&A session |
|---|---|---|
| Leadership Toolkit | The Leadership Toolkit Materials, as listed on its product page | Not included |
| Managers Toolkit | The Managers Toolkit Materials, as listed on its product page | Not included |
| Comprehensive Toolkit | Everything in the Leadership Toolkit and Managers Toolkit | One live group session of up to 1 hour — up to 10 businesses, up to 2 representatives each (clause 10) |
Table 1: The three Toolkit tiers at a glance. If this table and the clauses differ, the clauses apply.
2.2 Some Materials are drafted or reviewed by Employment Law Services Ltd, an external legal services provider instructed by Wellscape; the manager training content and other HR guidance materials are prepared by Wellscape’s own HR professionals. The product page for each tier states which Materials fall into each category.
2.3 Manager training content. Where your tier includes manager training content, it is provided for self-paced, on-demand learning — your managers can work through it in their own time and revisit it as needed. It is training and guidance material only: it is not a formally accredited, examined or CPD-certified course, and completing it does not, by itself, discharge any legal obligation you may have as an employer (for example to train managers to a particular standard). Where you have bought the Comprehensive Toolkit, the Q&A session under clause 10 is designed as a natural extension of this self-paced training, so your managers can ask follow-up questions once they have completed it. It is not a substitute for working through the training content itself, and is not a stand-alone training session.
2.4 The Materials are templates and general guidance only. They are not legal advice, and using them does not create a solicitor-client or other professional adviser relationship between you and Wellscape, its founders, staff or Employment Law Services Ltd or any other professional who contributed to the Materials. The Materials are designed to be adapted to your own business and circumstances, including via the AI prompts provided, and you are responsible for that adaptation and for satisfying yourself that the adapted documents are appropriate for your business before you rely on or use them.
2.5 AI-assisted customisation. Where your tier includes AI prompts, these are provided to help you adapt the template documents using a general-purpose AI tool of your choice. Wellscape does not operate or control the AI tool you use, and any output it produces is a draft only. You are responsible for reviewing the whole of any AI-adapted document before you rely on it or issue it to an employee, checking that it accurately reflects your business, your employment practices and the facts of your situation, and completing or correcting anything the AI tool has left incomplete, generic or inconsistent with the source template. Wellscape gives no warranty as to the accuracy of any AI-generated or AI-adapted content and is not liable for errors introduced by your use of an AI tool.
2.6 Employment law, and in particular the changes introduced by the Employment Rights Act 2025 and related secondary legislation, is subject to ongoing implementation and may change after your purchase date. Wellscape does not guarantee that the Materials reflect the law as it stands on any date after the version date shown on the Materials themselves, and updates (where included in your tier) are provided on the basis set out in clause 10.
2.7 If you need advice on a specific situation involving a named employee, a live dispute, or a decision with significant legal or financial consequences for your business, you should take independent legal advice. Nothing in the Materials, the training content, or the Q&A session (clause 10) is a substitute for that advice.
3. Orders, price and payment
3.1 The price for each Toolkit tier is shown on the Store at the time you place your order, in pounds sterling. Prices may include time-limited launch pricing; the price you pay is the price displayed at checkout when your order is placed, and later price changes (up or down) do not apply retrospectively to orders already placed.
3.2 VAT. Wellscape is not currently registered for VAT. No VAT is added to the price shown, and the price shown is the total price you pay. If Wellscape becomes VAT-registered in the future, prices for orders placed after the effective date of registration will be adjusted accordingly and this clause will be updated; registration does not affect orders already completed.
3.3 Payment is taken in full, in advance, through the payment methods offered at checkout via the Store’s payment provider(s) (for example Shopify Payments or another payment gateway enabled on the Store). We do not store your full card details; these are processed directly by our payment provider under its own terms.
3.4 Your order is only accepted, and the contract only formed, once payment has been successfully processed and we have sent an order confirmation (clause 1.6). If payment is declined, refused or reversed (including by chargeback) after the Toolkit has been delivered to you under clause 4, we reserve the right to suspend or revoke your access to the Materials and to pursue recovery of the amount due.
3.5 We take reasonable care to ensure prices and product descriptions on the Store are accurate. If a pricing or description error is discovered before your order is accepted, we will contact you before proceeding and you may choose to continue at the correct price or cancel for a full refund.
3.6 The live Q&A session included in the Comprehensive Toolkit, and any legal update pack referenced on the Store, are governed by clause 10 in addition to this clause 3.
4. Delivery of the Toolkit
4.1 The Toolkit is delivered digitally. On successful payment, access is provided by one or both of the following methods, as shown on the Store at checkout:
(a) an automated email, sent to the email address you provide at checkout, containing a secure download link or links to the Materials; and/or
(b) access via a digital-download or customer-account area of the Store, where you can log in and download the Materials directly.
4.2 Delivery is normally instant or within a few minutes of order confirmation, but may occasionally be delayed by matters outside our control (for example email delivery issues or platform downtime). We aim to resolve any delivery issue within one working day of being notified.
4.3 It is your responsibility to provide a correct, monitored email address at checkout and to check your spam or junk folder if you do not receive delivery within a reasonable time. If you do not receive the Toolkit, contact us at gerri.mcaughtry@wellscape.uk with your order number and we will re-send access at no extra charge.
4.4 Download links may be time-limited or restricted in the number of times they can be used, to protect the Materials against unauthorised redistribution (see clause 5). If your link expires before you have downloaded the Materials, contact us and we will issue a replacement, subject to verifying your order.
4.5 You are responsible for storing your own copy of the Materials once downloaded, including keeping secure back-ups. Wellscape is not obliged to provide indefinite hosting or repeated re-delivery beyond what is reasonably needed to remedy a genuine delivery fault.
4.6 Once the Materials have been made available to you under this clause 4, the Toolkit is treated as “delivered” and as digital content whose performance has begun, for the purposes of clause 7 (cancellation and refunds). For the Comprehensive Toolkit, this applies to the whole Toolkit, including the Q&A session, even though the session itself takes place later.
5. Your licence to use the Materials
5.1 On payment of the price and delivery of the Toolkit, Wellscape grants a non-exclusive, non-transferable, non-sublicensable licence to the single business named on your order (the “Licensed Business”) to download, store, copy and adapt the Materials, and to use the training content, solely for the Licensed Business’s own internal use in managing its own employees and workplace processes.
5.2 Training access. There is no limit on the number of people within the Licensed Business who may access and use the Materials and training content — every manager, director or employee at the Licensed Business who needs it can use it. Attendance at the live Q&A session included in the Comprehensive Toolkit is limited separately under clause 10.4, and is not affected by how many people within the business are using the training content.
5.3 You may print or distribute copies of adapted documents, and share the training content and other Materials, internally within the Licensed Business, and to its own employees, contractors, advisers and regulators as reasonably necessary to use the Materials for their intended purpose (for example, issuing a completed contract or policy to an employee, or circulating training content or a Q&A write-up under clause 10.13 to your managers).
5.4 You must not:
(a) use, resell, sublicense, distribute, publish or otherwise make the Materials or training content (in original or adapted form) available to any person or business outside the Licensed Business, whether for payment or free of charge, including where you are an HR consultant, adviser, bookkeeper, accountant or similar acting for multiple clients;
(b) use the Materials or training content to create a competing product or service, or incorporate them into training materials, publications or products offered to third parties;
(c) remove, obscure or alter any copyright, trademark or attribution notice on the Materials; or
(d) share login or download access with, or provide copies of the Materials to, any person or business outside the Licensed Business.
5.5 If you are a group of companies and want the Materials to be used by more than one entity within the group, or you are an adviser wanting to use the Materials across multiple clients, please contact us before purchase to discuss a multi-entity or consultant licence — this is not included in the standard purchase.
5.6 We may suspend or terminate your licence, without refund, if you materially breach this clause 5, without prejudice to any other remedy available to us.
6. Intellectual property
6.1 All intellectual property rights in the Materials, including copyright in the template documents, letters, flowcharts, factsheets, slides and AI prompts, and any trademarks, logos or branding used on the Store or in the Materials, belong to Wellscape or its licensors (including Employment Law Services Ltd, in respect of content they drafted and licensed to Wellscape for this purpose). No sale of a Toolkit transfers ownership of any intellectual property to you — you receive only the licence described in clause 5.
6.2 You retain ownership of the specific documents you create by adapting the Materials for the Licensed Business (for example, a completed employment contract naming your own employee), but the underlying template, structure and drafting remain Wellscape’s (or its licensors’) intellectual property, and clause 5.4 continues to apply to that adapted content.
6.3 If you believe any Materials infringe a third party’s intellectual property rights, please notify us promptly at gerri.mcaughtry@wellscape.uk so we can investigate.
6.4 You must keep confidential any part of the Materials, or of a Q&A session under clause 10, that is not already public knowledge, and must not disclose it to any person outside the Licensed Business except as permitted by clause 5.3. This obligation survives delivery of the Toolkit and any termination of these Terms.
6.5 If you breach clause 5 (licence) or this clause 6, we may seek an injunction, damages and our legal costs, in addition to our rights under clause 5.6. You agree to indemnify us against losses (including legal costs and our reasonable management time, charged at £175 per hour) arising from your unauthorised use, sharing or distribution of the Materials.
7. Cancellation and refunds
7.1 The Toolkit is digital content that you can use as soon as it is delivered. By placing your order, you expressly request that delivery begin immediately, and you acknowledge that once the Materials have been made available to you under clause 4, you lose any right to cancel the order and no refund is available. This reflects the nature of digital content that cannot practically be “returned” once accessed.
7.2 If you have not yet accessed or downloaded the Materials, contact us at gerri.mcaughtry@wellscape.uk as soon as possible; we will use reasonable efforts to cancel the order and refund the price paid, but this is not guaranteed once processing has begun and is entirely at our discretion once any part of the Materials has been sent or made available to you.
7.3 Faults. If there is a genuine technical fault with your download (for example, a broken link, corrupted file, or missing document that should have been included in your tier), contact us at gerri.mcaughtry@wellscape.uk with your order number and a description of the issue. We will investigate and, where the fault is confirmed, fix it as soon as reasonably possible — normally by re-sending the affected file(s). This is your remedy for a delivery or file fault; it does not extend to dissatisfaction with the content, drafting choices, or applicability of the Materials to your particular business, which are addressed by clause 2 (What you are buying) and clause 8 (Liability).
7.4 Nothing in this clause 7 affects any right you have, as a business customer, to receive a Toolkit that is as described, of satisfactory quality and reasonably fit for the purpose described on the Store, to the extent that right is implied by law and cannot lawfully be excluded. Because the Store sells only to business customers (clause 1.3), the consumer rights in the Consumer Rights Act 2015 do not apply to these Terms. Clause 7.3 is how we expect to resolve any such issue in practice.
7.5 Comprehensive Toolkit and the Q&A session. Because the Comprehensive Toolkit is sold as a single Toolkit at a single price (clause 2.1), no part of the price is attributed to the Q&A session. If you do not book, attend or use the Q&A session, or it is treated as used under clause 10.3, no partial refund or credit is available. If we are unable to run the session for reasons within our control, we will offer you a place on an alternative session date.
8. Liability
8.1 Nothing in these Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence, or that of our employees, agents or subcontractors;
(b) fraud or fraudulent misrepresentation; or
(c) any matter for which it would be unlawful for us to exclude or restrict liability under the laws of England and Wales.
8.2 Basis of supply. The Materials are template and guidance documents for adaptation by you, as explained in clause 2. We warrant that the Materials will be provided with reasonable care and skill, but we do not warrant that they are error-free, complete for every business circumstance, or that using them will prevent an employment tribunal claim, defend one successfully, or achieve any particular legal or commercial outcome.
8.3 Exclusion of certain losses. Subject to clause 8.1, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:
(a) loss of profits, revenue, business, contracts or anticipated savings;
(b) loss or corruption of data (beyond re-delivering the Materials under clause 7.3);
(c) employment tribunal award, settlement, penalty, fine, or associated legal costs incurred by you, whether or not arising from your use of the Materials; or
(d) indirect or consequential loss,
in each case however arising and even if such loss was foreseeable or we had been advised of the possibility of it.
8.4 Cap on liability. Subject to clause 8.1, our total aggregate liability to you arising out of or in connection with an order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total price paid by you for the Toolkit tier giving rise to the claim.
8.5 Why the cap is set this way. The Materials are supplied at a fraction of the cost of bespoke legal drafting or an HR retainer precisely because they are standardised templates for you to adapt, and because clause 2 makes clear they are not a substitute for independent legal advice on your specific circumstances. The cap in clause 8.4 reflects that basis of supply and the price paid; it is not intended to, and does not, exclude our liability for death, personal injury or fraud (clause 8.1), and we maintain professional indemnity insurance appropriate to our business.
8.6 Time limit. Any claim against us must be notified in writing within 12 months of the date the Toolkit was delivered to you, failing which the claim is barred.
8.7 Your indemnity to us. You agree to indemnify us against any claim brought by a third party (including an employee, former employee or job applicant of yours) arising from your use, adaptation or issuing of the Materials, except to the extent the claim arises from our breach of these Terms or our negligence.
8.8 Claims against individuals. You agree not to bring any claim in negligence or otherwise against any individual director, founder or content contributor of Wellscape personally (including Geraldine (Gerri) McAughtry, Paul McAughtry or Benjamin McAughtry) in connection with the Materials or these Terms; any claim you have is against Wellscape Group Ltd only, subject to this clause 8.
9. Data protection
9.1 We process personal data you provide when placing an order (such as your name, business name, email address and payment details) in order to fulfil the contract, in accordance with our Privacy Policy and UK data protection law (the UK GDPR and Data Protection Act 2018). Payment card details are processed by our payment provider and are not stored by us.
9.2 The Q&A session under clause 10 is a group session shared with other businesses. To protect the confidentiality of all attendees, and in line with professional conduct obligations, we do not discuss named individual employees or specific ongoing disputes in the session; see clause 10.5.
9.3 Nothing in these Terms constitutes Wellscape acting as a data processor for personal data about your own employees that you may input into the Materials as you adapt them (for example, an employee’s name in a completed letter) — that processing is entirely your own, as the employer, and you remain responsible for your own compliance with data protection law in respect of your employees’ data.
9.4 We retain order and account records (name, business name, email address, order and payment history) for approximately six years after your order, reflecting the normal limitation period for contract claims in England and Wales; this does not extend the liability time limit at clause 8.6.
10. Training content, Q&A session and support
10.1 Where your tier includes manager training content, it is made available to you on delivery under clause 4 and can be accessed on demand for as long as reasonably needed to work through it; see clause 2.3 for what this training does and does not cover.
10.2 Booking. The Comprehensive Toolkit includes one live group Q&A session. The Leadership Toolkit and Managers Toolkit do not include a Q&A session. If you have bought the Comprehensive Toolkit, we will send you a link to our online booking system (currently Calendly) after purchase, showing the session dates available in Gerri’s diary. You must book your place, through that link, within the booking window stated on the Store. Places are offered on a first-come, first-served basis, each session date is limited to 10 businesses (clause 10.4), and we do not agree bespoke times outside the booking system. Q&A sessions are only available during normal UK business hours (Monday to Friday, 9am–5pm, excluding bank holidays) and remain subject to availability in Gerri’s diary.
10.3 Rescheduling and cancellation. Once booked, you may move your place to another available session date once, provided you do so at least 48 hours before your booked session’s scheduled time, using the reschedule link in your booking confirmation. A second reschedule request, a cancellation with less than 48 hours’ notice, or a failure to attend at the scheduled time, means your session is treated as used and no further session, refund or credit is available for it — except where we agree otherwise at our discretion (for example, in the case of illness or another genuine emergency).
10.4 Attendees. Attendance at the Q&A session is limited to up to 2 representatives from your business. Each group session includes attendees from up to 10 businesses. These limits protect session time for all attendees; they do not limit who in your business can access or use the Materials and training content itself, which is unlimited under clause 5.2. We may decline entry to, or ask to leave, anyone beyond the stated limit or who is not from the Licensed Business.
10.5 Scope and advance questions. The Q&A session is a natural extension of the self-paced manager training content under clause 2.3. As with questions at the end of a training session, questions are limited to clarification questions arising directly from the Manager Training Slides and the training content within the Materials. They do not extend to advice on named individual employees, live disputes, bespoke drafting, or matters outside the scope of the Materials — see clause 9.2. We strongly encourage you to submit your questions in writing at least 3 working days before your session, so Gerri can prepare and confirm they fall within scope. Where questions are submitted less than 3 working days before the session, including questions raised on the day, we cannot guarantee they will be covered within the session time. Unanswered questions are not carried over or refunded, and questions outside scope will not be answered.
10.6 Reasonable use. Session time is shared across all attendee businesses (up to 10, per clause 10.4). We will answer as many questions as we can in the time available, and will aim to get around every business so that each has the opportunity to have its questions answered, giving priority to questions submitted in advance under clause 10.5. To keep this fair, we may limit further questions from any one business so that time remains available to other businesses; any questions not covered can be raised through email support under clause 10.12, subject to its own scope. This clause does not affect the write-up at clause 10.13, which will reflect whatever was actually covered in the session.
10.7 Session length. The Q&A session runs for up to 1 hour and is not extended if questions take longer to cover. We will use reasonable efforts to prioritise submitted questions within that time and to share time fairly across attendee businesses (see clause 10.6). Booking a place does not guarantee that every question will be answered live; anything not covered can be raised with email support under clause 10.12, subject to its own scope.
10.8 Confidentiality. Q&A sessions are shared with other Wellscape customers. You must not disclose the identity of other attendees or anything they discuss in the session, and we ask the same of every attendee.
10.9 Recording. Each Q&A session is recorded using an AI note-taking tool (for example tl;dv), so that we can prepare the written Q&A summary under clause 10.13. The recording and any transcript it generates are used only for that purpose, are retained no longer than reasonably necessary to produce the summary, and are not otherwise reviewed, shared or repurposed. Recording is a standard part of every session; by booking and attending a Q&A session, you consent to it. Recordings and transcripts remain our property and are confidential to the attendees under clause 10.8. You must not separately record, screenshot or redistribute any part of a session without our prior written consent.
10.10 Third-party booking, call and note-taking platforms. Bookings, sessions and session write-ups are run using third-party platforms, including Calendly, a video-calling service (for example Zoom or Microsoft Teams), and an AI note-taker (for example tl;dv) for recording and preparing the Q&A summary under clause 10.13. We are not responsible for outages, errors or data-handling by these platforms. If a session cannot go ahead because of a fault with one of these platforms, we will offer a place on a reasonable alternative session date rather than treating your session as used.
10.11 Where your tier includes a legal update or update pack, this is provided to reflect secondary legislation confirmed by the date stated on the Store, and is a summary update to the existing Materials — it does not constitute a new, separately purchased Toolkit, and clauses 2, 8 and 9 apply to it in the same way as to the original Materials.
10.12 Email support. Basic email support (for access or download issues) is provided on the response-time basis stated for your tier on the Store, during normal UK business hours (Monday to Friday, 9am–5pm, excluding bank holidays). This support does not extend to bespoke drafting, reviewing your adapted documents, or advice on your specific circumstances, which fall outside the scope of this Toolkit purchase.
10.13 Q&A write-up. After each Q&A session, we will prepare a short written summary of the questions raised and our answers (a summary, not a verbatim transcript). The summary will not attribute any question to a specific business, in line with the confidentiality obligation at clause 10.8, so that it can be circulated to your managers without identifying other attendees. We aim to send the write-up within 5 working days of the session. The write-up remains subject to the same limits as the rest of the Materials, including that it is not legal advice (clause 2) and our liability in relation to it is limited under clause 8.
11. Term, termination and force majeure
11.1 These Terms apply from the date your order is placed and continue for as long as you hold and use the Materials; the licence in clause 5, the confidentiality obligation in clause 6.4, and clauses 8 (liability), 9 (data protection) and 12 (general) survive delivery indefinitely.
11.2 We may terminate your licence to use the Materials immediately, by written notice, if you materially breach clause 5 (licence) or clause 6 (intellectual property/confidentiality) and, where the breach is capable of remedy, fail to remedy it within 14 days of being asked to do so. Termination under this clause does not entitle you to a refund.
11.3 Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by events outside its reasonable control, including internet or platform outages, payment provider failures, or events affecting Shopify’s own service.
11.4 Third-party platforms. The Store, checkout, payment processing, and (for the Comprehensive Toolkit) booking and video-call services for the Q&A session are provided using third-party platforms (for example Shopify, our payment provider, Calendly, Zoom or Microsoft Teams, and tl;dv). We take reasonable care in choosing these providers but are not liable for loss or disruption caused by their errors, outages or security incidents; issues with a specific platform’s own service are a matter between you and that platform, under its own terms.
12. General
12.1 Assignment. You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms to another entity as part of a merger, acquisition or sale of the Wellscape business, provided this does not materially reduce your rights.
12.2 Third party rights. No one other than a party to these Terms has any right to enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999.
12.3 Severability. If any provision of these Terms is found unenforceable or invalid, the remaining provisions continue in full force, and the parties will negotiate in good faith to replace the invalid provision with one of similar commercial effect where possible.
12.4 Entire agreement. These Terms, together with the order confirmation and the product description on the Store at the time of order, form the entire agreement between you and Wellscape for that order, and supersede any prior representations, save that nothing excludes liability for fraudulent misrepresentation.
12.5 Notices. Notices under these Terms should be sent to us at our registered office at 32 Mulberry Way, Armthorpe, Doncaster, England, DN3 3UE, or by email to gerri.mcaughtry@wellscape.uk, and to you at the email address provided at checkout.
12.6 Governing law and jurisdiction. These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the law of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
12.7 Company details. Wellscape Group Ltd, company number 15380302, registered in England and Wales. Registered office: 32 Mulberry Way, Armthorpe, Doncaster, England, DN3 3UE. Contact: gerri.mcaughtry@wellscape.uk.
12.8 Resolving disputes. Before starting court proceedings, each party will try in good faith to resolve any dispute by informal negotiation for at least 30 days; if that fails, the parties will consider mediation (for example through CEDR) before litigation. This clause does not prevent either party applying to court for urgent injunctive relief, and does not affect clause 12.6.
